This is an English version of the Ukrainian original. If the versions differ, the Ukrainian text prevails.

1. Parties

The Provider is sole proprietor (FOP) Viacheslav Anatoliiovych Overkovskyi, Ukrainian tax ID (RNOKPP) 3089717212 (the "Provider"). Full details and the address are on the Contacts page.

The Customer is an individual, a sole proprietor or a legal entity that signs up in the StoreNex dashboard, uses the modules or pays for a plan or pack (the "Customer").

This offer is a public contract under Articles 633 and 641 of the Civil Code of Ukraine. The contract is concluded when the Customer signs up in the dashboard, starts using a module or pays, whichever comes first.

2. Subject of the contract

The Provider gives the Customer access to StoreNex software modules for an online store under the chosen plan or pack, and the Customer pays for that access. The modules:

  • AI chatbot: a shopping assistant on the store's website, Instagram and OLX that answers from the catalog and collects leads;
  • AI site search: product search on the store's website with a report on searches that found nothing;
  • Feed: product feeds for Google Merchant Center and Meta catalogs;
  • Try-On: virtual try-on of clothing on the shopper's photo;
  • Content: product titles, descriptions and SEO fields;
  • Creora: bulk AI editing of product photos from a feed;
  • Ads: AI audit of Google Ads and Merchant Center.

The features and limits of each plan or pack are those shown on the module page at storenex.app at the time of payment. All services are provided online; the Provider does not sell or ship physical goods.

StoreNex is not the seller of the Customer's goods, does not take payment for them and is not a party to contracts between the Customer and its shoppers.

3. Prices

Prices are shown in Ukrainian hryvnias (UAH) on the Ukrainian and Russian versions of the module pages and apply at the time of payment. The English version shows prices in US dollars for reference; payments through WayForPay are charged in UAH at the National Bank of Ukraine rate on the day of payment.

The Provider may change prices. A new price never applies to a period or pack that is already paid for.

4. Payment

Payment is made in advance through the WayForPay payment service with a Visa or Mastercard card or another method available on the payment page. The payment currency is the Ukrainian hryvnia. Card details are processed by WayForPay; the Provider does not receive or store them.

Subscriptions (AI chatbot, AI site search, Feed, Ads) are paid monthly, or yearly where a module offers yearly billing. Packs (Content, Creora, and Try-On on the Ukrainian and Russian versions of the site) are paid once and do not renew. How Try-On is billed depends on the version of the site where the Customer chooses a plan: on the Ukrainian and Russian versions it is sold as one-time packs; on the English site and in the Try-On app for Shopify it is a monthly plan with try-ons included, which renews every month, and try-ons beyond the plan are charged separately at the price on the module page. The monthly plan is available to Shopify stores and is paid through Shopify billing only; through WayForPay, Try-On is sold only as one-time packs.

A subscription through WayForPay is paid in advance for 30 days or a year as a one-time payment. There is no automatic renewal and no recurring charge: card details are not stored, and when the paid period ends, access stops until the Customer pays for a new period in the dashboard. There is nothing to cancel. Plans paid through Shopify billing renew under Shopify's rules and can be cancelled in Shopify.

Shopify stores can pay for modules that have an app in the Shopify App Store through Shopify billing. Shopify's rules apply to those payments.

More on payment methods: Payment and service delivery.

5. Provision of services

Access is provided online in the dashboard (or in the Shopify app) once WayForPay, or Shopify for payments through Shopify billing, confirms the payment. A plan or pack is usually activated automatically within a few minutes. If access hasn't appeared within 24 hours, email [email protected].

Free plans, trials and demos work within the limits shown on the module page and need no payment.

For a module to work, the Customer provides the data it needs: a product feed link, access to ad accounts, catalog files and so on. Processing times for batch jobs (Content, Creora) depend on volume and are shown in the dashboard.

6. Rights and obligations

The Provider gives access to the paid plan or pack, keeps the modules running and answers support requests.

The Customer provides accurate data, does not share dashboard access with third parties, follows the rules of third-party platforms (Meta, Google, OLX, Shopify and others) and uses the modules lawfully. The Customer is responsible for the lawfulness of the product data, content and shopper data it passes to the modules.

The Provider may temporarily restrict access in case of fraud, attacks, limit circumvention, unlawful use or a material breach of this offer.

7. AI and limits of liability

The modules use artificial intelligence models. Even when limited to catalog data, they can make mistakes, fail technically or misread a request. The Customer reviews results before publishing them (descriptions, photos, ad and feed changes).

The services are provided "as is". The Provider does not guarantee any level of sales, conversion or profit and is not responsible for third-party platforms, feeds or AI providers.

The Provider is not liable for indirect damages, lost profits or reputational losses. To the extent permitted by law, the Provider's total liability is limited to the amount the Customer actually paid for the module concerned in the 30 calendar days before the event giving rise to the claim.

8. Refunds

Cancellations and refunds are covered by the Refund policy.

9. Personal data

Personal data is processed under the Privacy policy.

10. Term, changes and disputes

The contract is valid until the Customer stops using the modules, which the Customer can do at any time. The Provider may change this offer; a new version applies from the date it is published on this page and does not worsen the terms of a period already paid for.

Disputes are settled by negotiation and, failing agreement, under the laws of Ukraine.
